Terms and Conditions

These Terms & Conditions (“Terms”) govern the provision of services by The Pathways Centre Ltd.

By accessing our website, purchasing services, or engaging with The Pathways Centre Ltd, you agree to be bound by these Terms.

1. About Us

​

The Pathways Centre is a private limited company registered in England and Wales.

References to “we”, “us”, or “our” refer to The Pathways Centre Ltd.
References to “you” or “client” refer to the individual, school, organisation, or entity purchasing or accessing services.

2. Scope of Services

​

The Pathways Centre provides psychology-informed consultancy, training, advisory support, subscriptions, digital content, and related services for parents, families, schools, organisations, and professionals.

​

Some services are provided on a time-bound or ongoing consultancy and advisory basis, including retainer-style engagements for organisations. These services involve the reservation of professional capacity, preparation, and ongoing availability over an agreed period.

​

Our services are:

  • educational and consultative in nature

  • informed by research and professional experience

  • designed to support inclusive, neurodiversity-informed practice

​

Our services do not constitute:

  • medical advice

  • psychological diagnosis

  • clinical or therapeutic treatment

  • statutory or regulated professional services

​

Nothing provided by The Pathways Centre should be relied upon as a substitute for professional medical, clinical, or statutory advice.

3. Eligibility & Use

​

Services may be purchased only by individuals aged 18 years or over.

​

Where services relate to children or young people:

  • purchases must be made by a parent, carer, or authorised adult

  • responsibility for the application of guidance remains with the adult purchaser

​

You agree to use our services lawfully and in accordance with these Terms.

​

4. Consultancy Relationship & Outcomes

​

Our work involves professional judgement, preparation, and collaboration. Outcomes depend on a range of factors, including client engagement, organisational context, and implementation of recommendations.

​

Accordingly:

  • no specific outcomes are guaranteed

  • recommendations are advisory, not prescriptive

  • responsibility for decisions and actions taken based on our guidance remains with the client

​

Dissatisfaction with outcomes alone does not constitute a breach of contract.

​

​

5. Subscriptions & Access

​

Subscriptions provide access to digital content, live sessions, and community-based support as described at the time of purchase.

​

Subscriptions:

  • operate on a recurring billing basis

  • remain active until cancelled in accordance with our Refund & Cancellation Policy

​

We reserve the right to:

  • update or replace content

  • adjust delivery formats

  • make reasonable changes to subscription features

​

Such changes will not materially reduce the overall value of the subscription.

​

​

6. Schools & Organisational Engagements

​

Consultancy, training, and advisory services for schools and organisations are delivered in accordance with agreed proposals, schedules, and invoices.

​

Clients agree to:

  • provide timely and accurate information

  • ensure appropriate staff participation

  • comply with agreed timelines and payment terms

​

Delays caused by the client may affect delivery schedules and do not entitle the client to a refund.

​

Where services are provided on an ongoing consultancy or advisory basis, delivery is governed by the agreed service proposal or agreement and operates as a professional retainer. Fees reflect reserved consultancy capacity and strategic input over time, regardless of the level of usage in any given period.

7. Fees & Payment

​

Fees are agreed in advance and confirmed in writing via proposals, booking confirmations, or invoices.

​

Unless otherwise agreed in writing:

  • Schools and educational settings

    • A 50% deposit is required prior to the commencement of work

    • The remaining balance is payable within 30 days of invoice

​

  • Organisations and private clients

    • A 50% deposit is required prior to the commencement of work

    • The remaining balance is payable within 14 days of invoice​

​

All deposits must be received before any consultancy, training, preparation, or related work begins.

Invoices will clearly state the payment due date. Clients are responsible for ensuring payment is made within the agreed timeframe.

​

Where fees relate to ongoing consultancy or advisory retainers, payments are due in accordance with the agreed billing schedule and are non-refundable once the relevant billing period has commenced, except where required by law. Cancellation rights, notice periods, and minimum commitment terms are governed by the Refund & Cancellation Policy and the applicable service agreement.

8. Late Payment

​

Where payment is overdue and no communication has been received regarding the delay, The Pathways Centre reserves the right to charge interest on overdue amounts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, as amended.

​

We also reserve the right to:

  • suspend or withhold services

  • delay delivery of materials or follow-up support

  • decline future bookings

​

Until outstanding balances are settled in full. The right to charge interest does not affect our right to recover the outstanding amount.

​

​

9. Cancellations & Refunds

​

Cancellations and refunds are governed by our Refund & Cancellation Policy, which forms part of these Terms.

In the event of any inconsistency, the Refund & Cancellation Policy shall take precedence.

10. Intellectual Property

​

All materials provided by The Pathways Centre - including documents, slides, recordings, videos, frameworks, written content, and digital resources - remain our intellectual property unless otherwise stated.

​

You may not:

  • copy

  • record

  • reproduce

  • distribute

  • share

  • resell

​

Any materials without prior written permission. Materials are licensed for personal or internal organisational use only.

​

​

11. Confidentiality

​

Both parties agree to treat confidential information shared during the course of services with care and discretion.

​

We will not disclose confidential client information except where:

  • required by law

  • safeguarding obligations apply

​

​

​

12. Limitation of Liability

​

To the fullest extent permitted by law:

  • we are not liable for indirect, incidental, or consequential losses

  • we are not responsible for decisions made by clients based on our guidance

​

Nothing in these Terms excludes liability for:

  • death or personal injury caused by negligence

  • fraud or fraudulent misrepresentation

  • any liability that cannot be excluded by law

​

​

​

13. Force Majeure

​

We are not liable for failure or delay in performance caused by events beyond our reasonable control, including illness, technical failure, or external disruptions.

14. Termination

​

We reserve the right to suspend or terminate access to services where:

  • these Terms are breached

  • continued provision is no longer appropriate

​

Termination does not affect outstanding payment obligations.

​

16. Governing Law

​
